Wirtek share purchase and announcement regarding managers' transactions in Wirtek A/S

The Board of Directors of Wirtek A/S has decided to purchase 153,850 existing Wirtek shares to cover the share-based earn-out payments to the sellers of Pragmasoft, which was acquired in August 2024. The majority of the earn-out payments is due in the first half of 2025.

The share purchase avoids diluting existing shareholders with newly issued shares and has been decided according to the authorisation given to the Board of Directors at the Annual General Meeting in 2024 (see company announcement No. 5/2024).

As part of Wirtek's annual report for 2024, the Board of Directors published a new capital allocation policy. The share purchase aligns with this new policy, as Wirtek has a gearing below 1 and has budgeted and approved sufficient funds for the 2025 investments into its current business areas.

Wirtek A/S is acquiring the shares from CEO Michael Aaen and COO Flaviu Zapca, as detailed below. The shares are purchased at a weighted average price of DKK 6.40 per share, based on the 10 trading days starting from 21 March 2025, for a total transaction value of DKK 984,640.
