Innofactor also made several other announcements yesterday, the most important of which was a negative profit warning on revenue and EBITDA, which led us to slightly lower our forecasts. In our view, the offer is still a good one for shareholders from a number of perspectives and we believe there is a strong likelihood that the offer will be successful. We reiterate our target price of EUR 1.68 and our Reduce recommendation and also recommend accepting the offer. New sales remain challenging, although the order book increased from the previous quarter. In particular, we lowered our earnings forecasts for the coming years due to new sales and the challenge of managing billing rates. We expect that the company will have to issue a profit warning for the current year. With our forecasts (2024e P/E 11x and EV/EBIT 9x), the stock’s valuation picture is rather neutral, although there is clear upside in the longer term. We lower Innofactor’s target price to EUR 1.20 (was 1.55) reflecting estimate revisions. We also lower our recommendation to Decrease (was Accumulate). The order book decreased and supports the next few quarters, but Innofactor must succeed in new sales, which it had confidence in. We expect moderate organic growth in the coming years and slight profitability improvement. With our estimates the share’s valuation (2023e P/E 10x and EV/EBIT 9x) is still attractive, considering the stronger base for earnings growth although uncertainty in the IT market is still elevated.

Onni Bidco Oy is to commence redemption proceedings without undue delay in accordance with Chapter 18 of the Companies Act.

Innofactor announced on Friday that the Onni Bidco consortium has received 94.25% of Innofactor&apos;s shares, exceeding the 90% redemption threshold. Onni Bidco Oy is to commence redemption proceedings without undue delay in accordance with Chapter 18 of the Companies Act. We understand that Onni Bidco will then apply for the delisting of Innofactor from the Helsinki Stock Exchange.&#xa0;
To recap, Onni Bidco Ltd announced a public cash offer to acquire all shares in Innofactor in late July. Onni Bidco Oy consists of a fund managed by CapMan Growth, Innofactor&apos;s CEO Sami Ensio and his holding company and co-investor Osprey Capital Oy. The offer consideration was a cash payment of EUR 1.68 for each Innofactor share, representing a premium of +49% to the pre-offer closing price or a premium of 31% to the 6-month trading volume weighted average price.
