Onni Bidco receives required number of shares in Innofactor and starts redemption procedure

Innofactor announced on Friday that the Onni Bidco consortium has received 94.25% of Innofactor's shares, exceeding the 90% redemption threshold. Onni Bidco Oy is to commence redemption proceedings without undue delay in accordance with Chapter 18 of the Companies Act. We understand that Onni Bidco will then apply for the delisting of Innofactor from the Helsinki Stock Exchange.
To recap, Onni Bidco Ltd announced a public cash offer to acquire all shares in Innofactor in late July. Onni Bidco Oy consists of a fund managed by CapMan Growth, Innofactor's CEO Sami Ensio and his holding company and co-investor Osprey Capital Oy. The offer consideration was a cash payment of EUR 1.68 for each Innofactor share, representing a premium of +49% to the pre-offer closing price or a premium of 31% to the 6-month trading volume weighted average price.
