<div class="mfn-preamble"><p><strong>Thunderful Group AB (publ) has previously communicated that it has entered into a share transfer agreement regarding Thunderful Group AB (publ)'s transfer and Bergsala NDP AB's acquisition of the distribution businesses AMO Toys AB, Bergsala Aktiebolag, Thunderful 1 AB and the distribution services company Thunderful Solutions AB. The transaction has today, June 28, 2024, been completed.</strong></p></div><div class="mfn-body"><p>On May 21, 2024, Thunderful Group AB (publ) ("<strong>Thunderful</strong>" or the "<strong>Company</strong>") announced through a press release that it had entered into a share transfer agreement regarding the transfer (the "<strong>Transaction</strong>") of the remaining distribution businesses AMO Toys AB, Bergsala Aktiebolag, Thunderful 1 AB and the distribution services company Thunderful Solutions AB (together the "<strong>Subsidiaries</strong>") to Bergsala NDP AB, a company owned by Thunderful's largest shareholder and board member, Owe Bergsten.
